1. Agreement to Terms

These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", or "your") and K4 Minds Technologies LLP ("Company", "we", "our", or "us"), the operator of Seerly ("the Service", "the Platform"), an AI search visibility and brand visibility analysis platform.

By creating an account, accessing the Service, submitting domains for analysis, or using any features of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, you must immediately discontinue use of the Service and may not create an account or access any features.

We reserve the right to modify, update, or replace these Terms at any time at our sole discretion. Material changes will be communicated via email to your registered email address or through prominent notice on the Platform. Your continued use of the Service following the posting of changes constitutes acceptance of those changes. It is your responsibility to review these Terms periodically.

2. Description of Service

Seerly is a comprehensive AI search visibility platform that provides advanced analysis and insights into how artificial intelligence engines perceive, represent, and recommend brands across the internet. Our Service leverages cutting-edge technology to help businesses understand and optimize their presence in the age of AI-powered search and recommendation systems.

2.1 Core Features

The Service includes, but is not limited to, the following features:

  • AI Visibility Analysis:Comprehensive evaluation of how your brand appears in responses from major AI engines including OpenAI's ChatGPT, Google's Gemini, and Perplexity AI. This includes visibility scoring, mention frequency analysis, and competitive positioning assessment.
  • Brand Sentiment Analysis: Advanced natural language processing and sentiment analysis of AI-generated content mentioning your brand, including positive, negative, and neutral sentiment classification, emotional tone detection, and contextual analysis of brand mentions across different query types and topics.
  • Citation Tracking and Source Analysis: Identification and analysis of which websites, articles, and online sources AI engines cite when discussing your brand, including citation frequency, authority scoring, sentiment of cited sources, and competitive citation benchmarking.
  • SEO and AI Readiness Audits: Comprehensive technical audits of your website covering both traditional SEO fundamentals (meta tags, structured data, mobile optimization, page speed) and AI-specific optimization factors (schema markup, content structure, semantic clarity, entity recognition signals).
  • Content Strategy Recommendations: AI-powered suggestions for content creation, platform prioritization (Reddit, Medium, LinkedIn, Quora, etc.), topic targeting, and strategic guidance for improving visibility across AI engines and traditional search platforms.
  • Competitive Intelligence:Benchmarking your brand's AI visibility against competitors, including comparative visibility scores, competitive gap analysis, and strategic recommendations for outperforming competitors in AI-generated recommendations.
  • Workflow Execution and Real-Time Analysis: Automated multi-step analysis workflows that crawl your website, audit content, query AI engines, analyze responses, and generate comprehensive reports with real-time progress tracking and status updates.
  • Historical Data and Trend Analysis: Tracking of visibility metrics over time, sentiment trend analysis, citation evolution, and longitudinal performance measurement to understand how your AI presence changes and improves.
  • Multi-Domain Management: Ability to manage, monitor, and analyze multiple domains or brands from a single account, with domain-specific dashboards and comparative analytics.
  • Advertising Campaign Planning and Management: Optional features that let you connect your own Google Ads account so that the Service can propose search campaigns, and, once you approve them, create and manage those campaigns in your account and report on their performance. Advertising spend is incurred in your own account and billed to you by Google. These features are governed by Section 8.

2.2 Service Availability and Updates

The Service is provided on an "as available" basis. We continuously work to improve, update, and expand the Platform's features. New features, tools, and capabilities may be added at any time, and existing features may be modified or discontinued. We will make reasonable efforts to notify users of significant changes to core functionality.

2.3 Third-Party AI Engines

The Service interacts with third-party AI engines (including but not limited to OpenAI, Anthropic, Google, and Perplexity) to generate visibility analysis. These AI engines are operated by independent third parties, and their responses, recommendations, and outputs are generated by their proprietary systems. We do not control, guarantee, or take responsibility for the accuracy, completeness, or nature of responses generated by these third-party AI systems. AI-generated content can be unpredictable, change over time, and may contain inaccuracies or biases inherent to the AI models themselves.

3. User Account and Registration

3.1 Account Creation

To access certain features of the Service, you must create an account using our Google OAuth authentication system. By creating an account, you represent and warrant that:

  • You are at least 18 years of age or the age of legal majority in your jurisdiction
  • You have the legal capacity to enter into binding contracts
  • All information you provide is accurate, current, and complete
  • You will maintain the accuracy of your account information
  • You are not prohibited from using the Service under applicable laws
  • You have not previously been suspended or banned from using the Service

3.2 Account Security and Responsibility

You are solely responsible for maintaining the confidentiality and security of your account credentials and for all activities that occur under your account, whether authorized by you or not. You agree to:

  • Use a strong, unique password and enable two-factor authentication when available
  • Immediately notify us of any unauthorized access, use, or suspected security breach of your account
  • Not share your account credentials with any third party
  • Not allow any other person to use your account to access the Service
  • Take reasonable steps to prevent unauthorized access to your account

We are not liable for any loss or damage arising from your failure to maintain account security or your failure to notify us of unauthorized access in a timely manner.

3.3 Account Termination by User

You may terminate your account at any time through your account settings or by contacting our support team. Upon termination, your right to access and use the Service will immediately cease. We may retain certain information as required by law or for legitimate business purposes, including billing records, usage logs, and aggregated analytics data.

4. Acceptable Use and Prohibited Conduct

4.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. Specifically, you agree that you will:

  • Only analyze domains that you own, operate, or have explicit authorization to analyze
  • Provide accurate information when submitting domains for analysis
  • Use the Service solely for business intelligence, optimization, and analysis purposes
  • Comply with all applicable local, state, national, and international laws and regulations
  • Respect the intellectual property rights of others

4.2 Prohibited Conduct

You expressly agree NOT to:

  • Analyze Unauthorized Domains: Submit domains for analysis that you do not own or have explicit permission to analyze, including competitor websites without authorization
  • Abuse or Overload the Service:Make excessive API calls, automated requests, or otherwise attempt to overload, disrupt, or impair the Service's infrastructure, including denial of service attacks, flooding, or resource exhaustion attacks
  • Reverse Engineer or Attempt to Extract Our Technology: Reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or methodologies used by the Service, including our AI analysis techniques, scoring algorithms, or proprietary processes
  • Scrape, Copy, or Resell Our Data or Service: Use automated tools (bots, scrapers, crawlers) to extract data from the Service, copy or republish our analysis results, or resell, sublicense, or redistribute access to the Service without our express written permission
  • Violate Security or Access Controls:Attempt to gain unauthorized access to any portion of the Service, other users' accounts, or computer systems or networks connected to the Service through hacking, password mining, or any other means
  • Interfere with Other Users: Interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies, or regulations of networks connected to the Service
  • Use for Illegal or Harmful Purposes: Use the Service to engage in or promote illegal activities, fraud, defamation, harassment, spam, or any activity that harms or threatens to harm any person, organization, or entity
  • Manipulate or Deceive AI Systems:Use the Service to develop techniques for manipulating, deceiving, or gaming AI engines in ways that violate those platforms' terms of service or ethical guidelines
  • Create Competing Services: Use the Service to build, train, or improve a competing product or service, including using our analysis methodologies, reports, or data to develop similar AI visibility analysis tools

4.3 Consequences of Violations

Violation of these acceptable use policies may result in immediate suspension or termination of your account, legal action, and/or reporting to appropriate law enforcement authorities. We reserve the right to investigate suspected violations and cooperate with law enforcement agencies. You will be held liable for any damages, losses, or costs incurred by us or third parties as a result of your violations.

5. Data Collection, Processing, and Usage

5.1 Data We Collect Through the Service

In order to provide the Service, we collect, process, and analyze various types of data:

  • User-Submitted Data: Domain names, website URLs, brand names, business topics, and any other information you provide when using the Service
  • Publicly Accessible Website Data: We crawl and analyze publicly accessible content from websites you submit, including HTML content, metadata, structured data markup, page structure, content text, and technical elements relevant to SEO and AI optimization
  • AI Engine Interaction Data: We send queries to third-party AI engines (ChatGPT, Gemini, Perplexity) related to your brand and collect their responses, including the full text of responses, citations, sources referenced, and metadata about the interactions
  • Analysis Results and Derived Data: Visibility scores, sentiment analysis results, citation rankings, competitive benchmarks, audit findings, suggestions, and all other analytical outputs generated by our Service
  • Usage and Technical Data: Information about how you interact with the Service, including features used, workflows executed, time spent, error logs, performance metrics, and technical diagnostics
  • Connected Account Data: Where you connect a third-party account such as Google Analytics, Search Console, or Google Ads, the authorisation tokens for that account and the data we read from it to operate the connected feature, including Google Ads account details, campaign records, and campaign performance reporting

5.2 How We Use Your Data

We use the collected data for the following purposes:

  • Service Delivery: To perform the core analysis functions of the Service, generate reports, calculate visibility scores, and provide you with actionable insights
  • Service Improvement: To improve our algorithms, enhance accuracy, develop new features, and optimize the performance and reliability of the Platform
  • Aggregated Analytics and Research: To create anonymized, aggregated industry benchmarks, trend reports, and research insights that do not identify individual users or specific brands
  • Customer Support: To respond to your inquiries, troubleshoot issues, and provide technical assistance
  • Security and Fraud Prevention: To detect, prevent, and address security threats, abuse, fraud, and violations of these Terms
  • Legal Compliance: To comply with applicable laws, regulations, legal processes, and enforceable governmental requests

5.3 Data Retention

We retain your data for as long as your account is active and as necessary to provide you with the Service. After account termination, we may retain certain data for legitimate business purposes (historical analytics, billing records) and as required by law. You may request deletion of your personal data at any time, subject to legal retention requirements.

5.4 Data Sharing

We do not sell your personal information. We may share data with third-party service providers who assist in operating the Service (cloud hosting, analytics, AI engine APIs), and only to the extent necessary for them to perform their functions. All third parties are bound by confidentiality obligations. For more detailed information on data handling, please refer to our Privacy Policy.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including all software, algorithms, analysis methodologies, user interfaces, visual designs, graphics, logos, text, data structures, databases, and all other content and materials available through the Platform (collectively, "Company IP"), is owned by K4 Minds Technologies LLP and is protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our proprietary technology includes, but is not limited to:

  • AI visibility scoring algorithms and methodologies
  • Sentiment analysis and natural language processing techniques
  • Citation tracking and source authority ranking systems
  • SEO and AI readiness audit frameworks
  • Competitive benchmarking algorithms
  • Workflow orchestration and automation systems
  • Data aggregation and report generation tools

6.2 License Granted to You

Subject to your compliance with these Terms and payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business purposes in accordance with these Terms.

This license does NOT include any right to:

  • Modify, copy, reproduce, create derivative works from, or publicly display any Company IP
  • Decompile, reverse engineer, or attempt to extract the source code or algorithms of the Service
  • Remove, alter, or obscure any proprietary notices (copyright, trademark, etc.) on the Service
  • Sell, resell, rent, lease, sublicense, or otherwise transfer your rights to use the Service
  • Use the Service to build or train competing products or services
  • Frame or mirror any part of the Service on any other server or device

6.3 Your Content and Analysis Results

You retain ownership of any original content, data, or materials you submit to the Service ("User Content"). However, by submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, store, analyze, and display such content solely to provide the Service to you.

Analysis results, reports, and insights generated by the Service from your User Content are provided for your use. However, we retain ownership of the underlying algorithms, methodologies, and processes used to generate those results. You may use the analysis results for your internal business purposes but may not redistribute, resell, or publicly share them in a manner that reveals our proprietary methodologies or competes with our Service.

6.4 Feedback and Suggestions

If you provide us with any feedback, suggestions, or ideas about the Service ("Feedback"), you acknowledge that such Feedback is not confidential and you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and exploit such Feedback in any manner without compensation or attribution to you.

6.5 Trademark Usage

"Seerly" and our logo are trademarks of K4 Minds Technologies LLP. You may not use our trademarks without our prior written consent. Any unauthorized use may constitute trademark infringement and unfair competition in violation of applicable laws.

7. Payment, Billing, and Subscriptions

7.1 Subscription Plans

Access to certain features of the Service requires a paid subscription. We offer various subscription plans with different feature sets, usage limits, and pricing. Current plans and pricing are available on our website and may be updated from time to time.

7.2 Payment Terms

By subscribing to a paid plan, you agree to pay all fees associated with your selected plan. You must provide accurate and complete payment information and authorize us to charge your payment method on a recurring basis (monthly, annually, etc.) according to your subscription plan.

Payment obligations include:

  • Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date
  • Payment Method Updates: You must keep your payment information current and update it promptly if it changes or expires
  • Failed Payments: If payment fails, we may suspend your access to the Service until payment is successfully processed
  • Late Fees: We reserve the right to charge late fees or interest on overdue amounts as permitted by law

7.3 Pricing Changes

We reserve the right to modify our pricing at any time. Price changes for existing subscribers will take effect at the start of the next billing cycle following reasonable notice (typically 30 days). If you do not agree to a price increase, you may cancel your subscription before the new price takes effect.

7.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • You will retain access to paid features until the end of your current billing period
  • No refunds will be provided for partial billing periods or unused service time
  • Your subscription will not automatically renew
  • You may lose access to historical data and analysis results if you do not maintain an active subscription

Refunds may be issued at our sole discretion in cases of technical failure, service unavailability, or as required by applicable consumer protection laws.

7.5 Taxes

All fees are exclusive of applicable taxes, levies, or duties (including VAT, GST, sales tax, etc.), which are your responsibility. We will charge tax when required to do so by law. If you are exempt from paying such taxes, you must provide us with appropriate documentation of your tax-exempt status.

7.6 Free Trials

We may offer free trial periods for certain subscription plans. Free trials are subject to these Terms and may have limited features or usage restrictions. We reserve the right to modify or discontinue free trial offers at any time. At the end of a free trial, your payment method will be automatically charged unless you cancel before the trial ends.

8. Advertising Services and Google Ads Account Access

This section applies only if you connect a Google Ads account to the Service and use our advertising features. It governs how campaigns are created and managed in your account, and who bears responsibility for the resulting advertising activity and spend. In the event of a conflict between this section and any other section of these Terms in relation to advertising services, this section prevails.

8.1 Authorisation and Scope

By connecting a Google Ads account, you authorise us to access that account and to take actions in it on your behalf, limited to creating, modifying, pausing, enabling, and removing the advertising campaigns, budgets, ad groups, keywords, ads, and targeting associated with campaigns you approve through the Service. You represent and warrant that:

  • You own the connected Google Ads account, or you are authorised by its owner to connect it and to authorise advertising activity within it
  • You are authorised to advertise the brand, products, and services promoted by the campaigns you approve
  • You have a valid and current billing arrangement with Google for that account, and you are responsible for maintaining it

This authorisation is limited and revocable. It does not make us your agent for any other purpose, does not create a media buying, advertising agency, or fiduciary relationship between us, and does not transfer control of your Google Ads account to us. You remain the advertiser of record at all times.

8.2 Your Approval Controls What Is Published

Campaigns are drafted by the Service and presented to you for review. Nothing is created in your Google Ads account until you approve it. Campaigns are created in a paused state and begin serving only when you enable them. You are responsible for reviewing each campaign before approving it, including its budget, keywords, ad copy, destination URLs, and geographic targeting.

Campaign plans, including suggested keywords and ad copy, are generated using automated and AI-based techniques. As set out in Section 10, such output may be inaccurate, incomplete, or unsuitable, and your approval is what makes it live. You are solely responsible for the content of your advertisements and for their compliance with applicable law.

8.3 Advertising Spend Is Yours

All advertising spend arising from campaigns published through the Service is incurred in your own Google Ads account and is charged by Google directly to you under your billing arrangement with Google. We do not fund, hold, invoice, resell, mark up, rebate, or refund advertising spend, and our subscription fees are entirely separate from it.

You acknowledge and agree that:

  • Budgets you approve are daily budget settings passed to Google Ads. Google controls actual delivery and may spend more than the daily budget on any given day, subject to its own rules on how spend is averaged over a billing period. The amount actually charged is determined by Google, not by us
  • A campaign continues to spend until it is paused, removed, or its budget is exhausted according to Google's rules, whether or not you are actively using the Service
  • You are responsible for monitoring your own spend in Google Ads and for setting budgets you can afford
  • We are not liable for advertising spend of any kind, including spend you consider excessive, wasted, misdirected, or attributable to a defect, delay, or interruption in the Service

8.4 Forecasts and Performance

Traffic, cost, and performance forecasts shown before approval are estimates derived from third-party keyword data and modelling assumptions. They are not predictions, commitments, or guarantees of clicks, impressions, cost per click, conversions, revenue, or return on advertising spend. Actual results routinely differ from forecasts, and campaign performance depends on auction dynamics, competition, seasonality, your website, and your offering, none of which we control.

8.5 Compliance with Google Policies and Applicable Law

Your use of Google Ads is governed by your own agreement with Google, including the Google Ads Terms of Service and Google's advertising policies. Campaigns are drafted for you by the Service, including their keywords and ad copy. That drafting does not change who is accountable to Google: you are the advertiser of record, the campaign promotes your brand and is derived from your own website and your own claims, and it serves only once you have reviewed and approved it. You are therefore responsible for ensuring that every campaign you approve complies with the above, and with all applicable advertising, consumer protection, and sector-specific laws. This includes, without limitation, responsibility for:

  • The truthfulness and substantiation of claims made in your ads and on your landing pages
  • Your right to use any trademarks, brand names, or third-party content appearing in your ads or keywords
  • Compliance with restrictions applying to regulated categories, including healthcare, pharmaceuticals, financial services, legal services, alcohol, gambling, and political advertising, and with any certification or verification Google requires for them
  • The lawfulness and accuracy of the destination pages your ads point to, including any disclosures and consent mechanisms they must carry

Google alone decides whether an advertisement may serve.

8.6 Concurrent Changes and Limits of Our Control

You and anyone else with access to your Google Ads account may change, pause, or delete campaigns published through the Service directly in Google Ads at any time. The Service reflects the state of the account as reported by Google and may be out of date between refreshes. Where a campaign is changed outside the Service, what is shown in Seerly may differ from what is running, and our ability to manage that campaign may be reduced or lost.

Our advertising features depend on the availability and behaviour of the Google Ads API. Interruptions, rate limits, errors, changes, or revocation of access on Google's side may prevent a campaign from being published, paused, updated, or reported on. We will make reasonable efforts to surface such failures, but we are not liable for the consequences of them, including spend that continues because a pause request could not be completed. You retain the ability to pause or remove any campaign directly in Google Ads, and you should do so if you need a change to take effect with certainty.

8.7 Disconnection, Suspension, and Termination

You may disconnect your Google Ads account at any time from your project settings, or revoke our access from your Google account. Disconnection, suspension of your Seerly account, cancellation of your subscription, and termination of these Terms do NOT pause, remove, or otherwise stop campaigns already running in your Google Ads account. Those campaigns remain live and continue to incur spend until you pause or remove them in Google Ads.

You are solely responsible for stopping campaigns you no longer want. We recommend pausing or removing active campaigns before disconnecting your account or terminating your subscription.

8.8 Allocation of Risk for Advertising

Advertising spend is not a fee paid to us and does not count towards the liability cap in Section 11.2. To the maximum extent permitted by law, we have no liability for advertising spend, for the performance or results of any campaign, for the disapproval or suspension of your ads or your Google Ads account, or for any regulatory or third-party claim arising from the content of advertisements you approved. Your indemnity obligations in Section 12 apply to all of the above.

9. Service Availability and Maintenance

9.1 Service Level Expectations

While we strive to maintain high availability and reliability of the Service, we do not guarantee uninterrupted, error-free, or completely secure access to the Service. The Service may be subject to:

  • Scheduled maintenance and updates (typically announced in advance)
  • Unscheduled outages due to technical issues, network problems, or force majeure events
  • Performance degradation or delays caused by third-party services (AI engine APIs, hosting providers)
  • Temporary suspension for security reasons or to address abuse

9.2 Changes to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. This includes adding new features, removing existing features, changing feature functionality, or altering the user interface. We are not liable for any modification, suspension, or discontinuation of the Service or any features.

9.3 Third-Party Dependencies

The Service relies on third-party AI engines (OpenAI, Anthropic, Google, Perplexity) and other external services. Changes to these third-party services, including API deprecations, rate limiting, pricing changes, or discontinuation, may affect the availability or functionality of our Service. We are not responsible for disruptions caused by third-party services and will make reasonable efforts to adapt to such changes.

10. Disclaimers and Limitations of Warranty

10.1 "As Is" and "As Available" Basis

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, COMPLETENESS, OR RELIABILITY.

10.2 No Guarantee of Results

We make no representations or warranties regarding:

  • The accuracy, completeness, reliability, or timeliness of analysis results, visibility scores, sentiment analysis, or any other outputs generated by the Service
  • The effectiveness of recommendations or strategies suggested by the Service for improving AI visibility or search rankings
  • That use of the Service will result in improved AI visibility, higher rankings, increased traffic, or any specific business outcomes
  • That AI engine responses or behaviors analyzed by the Service will remain consistent over time or accurately represent future AI behavior

10.3 AI Engine Variability

AI engines are inherently probabilistic, non-deterministic, and subject to frequent updates. Responses from AI engines can vary significantly based on query phrasing, timing, model versions, and numerous other factors beyond our control. Analysis results are based on snapshots in time and may not reflect current or future AI behavior. We explicitly disclaim any warranty that AI visibility analysis will remain accurate or predictive over time.

10.4 Third-Party Content

The Service may display, reference, or link to third-party websites, content, or data sources. We do not endorse, verify, or control such third-party content and are not responsible for its accuracy, legality, or appropriateness. Your interactions with third parties are solely between you and the third party, and we disclaim all liability arising from such interactions.

11. Limitation of Liability

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL K4 MINDS TECHNOLOGIES LLP, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, business opportunities, or anticipated savings
  • Loss of data, goodwill, or reputation
  • Business interruption or downtime
  • Cost of substitute services or procurement
  • Damages resulting from reliance on analysis results, recommendations, or any information provided by the Service
  • Damages arising from unauthorized access to or use of your account or data
  • Advertising spend incurred in your own Google Ads account, including spend on campaigns that underperform, that continue serving after a failed pause or update, or that were approved by you in error
  • Disapproval, suspension, or termination of your advertisements or your Google Ads account by Google

These limitations apply regardless of the legal theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

11.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US FOR USE OF THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100 USD).

For the avoidance of doubt, advertising spend charged to you by Google is not an amount paid to us, is excluded from the calculation of this cap, and is not recoverable from us.

11.3 Essential Purpose

The limitations and exclusions in this section apply even if any limited remedy in these Terms fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you. In such cases, liability will be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless K4 Minds Technologies LLP, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, partners, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys' fees and court costs) arising from or relating to:

  • Your Use of the Service: Any use or misuse of the Service, including analysis of domains, submission of data, or reliance on analysis results
  • Violation of Terms: Your violation of these Terms, including acceptable use policies and prohibited conduct
  • Violation of Laws: Your violation of any applicable laws, regulations, or third-party rights
  • User Content: Any content, data, or information you submit to the Service, including claims that such content infringes third-party rights or violates applicable laws
  • Unauthorized Access: Any use of your account by others, whether or not authorized by you, if caused by your failure to maintain account security
  • Business Decisions: Any business decisions, strategies, or actions you take based on analysis results or recommendations provided by the Service
  • Advertising Campaigns:Any campaign you approve for publication through the Service, including the content of your advertisements and landing pages, your use of trademarks or third-party content, breach of Google's advertising policies or Google Ads Terms of Service, breach of advertising, consumer protection, or sector-specific laws, and any advertising spend incurred in your Google Ads account
  • Account Authorisation: Any claim that you were not authorised to connect the Google Ads account you connected, or to authorise advertising activity within it

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims. You will not settle any claim without our prior written consent.

13. Termination

13.1 Termination by You

You may terminate your account at any time through your account settings or by contacting us. Upon termination, you will lose access to the Service at the end of your current billing period (for paid accounts) or immediately (for free accounts). No refunds will be provided for prepaid subscription fees.

13.2 Termination by Us

We reserve the right to suspend or terminate your access to the Service immediately, with or without notice, for any reason including but not limited to:

  • Violation of these Terms or any policies referenced herein
  • Fraudulent, abusive, or illegal activity
  • Non-payment of fees or chargebacks
  • Repeated complaints from other users or third parties
  • Security or abuse concerns
  • Legal or regulatory requirements
  • Discontinuation of the Service or specific features
  • Any reason at our sole discretion

13.3 Effect of Termination

Upon termination of your account:

  • Your right to access and use the Service immediately ceases
  • We may delete your account data, analysis results, and historical records
  • Campaigns published through the Service into your Google Ads account continue to run and continue to incur spend until you pause or remove them in Google Ads, as set out in Section 8.7
  • You remain liable for any fees incurred prior to termination and for any outstanding obligations
  • Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, indemnification, and dispute resolution provisions) will continue to apply

We are not obligated to retain or provide access to your data after termination. You should export any data you wish to retain before terminating your account.

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

14.2 Jurisdiction and Venue

Subject to the arbitration provisions below, any disputes arising out of or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in India. You irrevocably consent to the jurisdiction and venue of such courts.

14.3 Informal Resolution

Before initiating formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us and providing a detailed description of the dispute. We will attempt to resolve the dispute informally within 30 days. If we cannot reach a resolution, either party may proceed with formal dispute resolution.

14.4 Arbitration (Where Applicable)

For users in jurisdictions where arbitration agreements are enforceable, disputes that cannot be resolved informally may be resolved through binding arbitration in accordance with the applicable arbitration rules of India. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

14.5 Injunctive Relief

Notwithstanding the above dispute resolution provisions, we may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights or confidential information.

15. Modifications to Terms

We reserve the right to modify these Terms at any time at our sole discretion. When we make changes, we will update the "Last updated" date at the top of this page and may provide additional notice through the Service, via email, or through other reasonable means.

Material changes to these Terms will be communicated with reasonable advance notice (typically 30 days) before taking effect. Changes will be effective upon posting for non-material changes or after the notice period for material changes. Your continued use of the Service after changes become effective constitutes your acceptance of the modified Terms.

If you do not agree to modified Terms, your sole remedy is to discontinue use of the Service and terminate your account before the changes take effect. We recommend reviewing these Terms periodically to stay informed of any updates.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and K4 Minds Technologies LLP regarding the Service and supersede all prior or contemporaneous agreements, communications, and proposals (whether oral, written, or electronic).

16.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent, or if such modification is not possible, shall be severed from these Terms.

16.3 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your account to any third party without our prior written consent. We may assign or transfer these Terms or our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets. Any attempted assignment in violation of this provision is void.

16.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, government actions, pandemics, internet or network failures, or failures of third-party services or providers.

16.6 No Third-Party Beneficiaries

These Terms are for the sole benefit of you and K4 Minds Technologies LLP and do not create any third-party beneficiary rights. No third party may enforce any provision of these Terms.

16.7 Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, employment, agency, or franchise relationship between you and us. Neither party has authority to bind the other or incur obligations on the other's behalf.

16.8 Export Compliance

The Service may be subject to export control laws and regulations. You agree to comply with all applicable export and import laws and regulations and will not export, re-export, or transfer the Service or any technical data derived from the Service to any prohibited country, entity, or person as specified by applicable laws.

16.9 Language

These Terms are drafted in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
